Welcome to Loop Digitizing. These Terms & Conditions (“Terms”) govern your use of loopdigitizing.com (the “Site”) and any embroidery digitizing, vector art, or related design services we provide (the “Services”). By accessing our Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

2. Services Provided

Loop Digitizing offers embroidery digitizing, vector conversion, patch digitizing, and related design services. Specific deliverables (file formats such as DST, PES, EXP, JEF, etc.), turnaround times, and pricing will be confirmed at the time of order or quote.

3. Placing an Order

  • By submitting artwork, a logo, or design files for digitizing, you are requesting a quote or placing an order subject to these Terms.
  • You must provide accurate order specifications (garment/fabric type, size, thread colors, placement, file format) — we are not responsible for errors resulting from incomplete or inaccurate information you provide.
  • Orders are confirmed once payment (or an agreed deposit) is received, unless otherwise stated.

4. Intellectual Property and Your Artwork

  • Your content: You retain ownership of any artwork, logos, or designs you submit. By submitting content, you represent and warrant that you own it or have the legal right to use and reproduce it, and to have it digitized.
  • Prohibited content: We reserve the right to refuse any order involving artwork that infringes third-party intellectual property rights (e.g., unlicensed use of copyrighted characters, trademarked logos, or brand assets) unless you can demonstrate proper authorization.
  • Our deliverables: Once an order is paid in full, the resulting digitized file(s) are licensed to you for your use. Loop Digitizing retains the right to use completed work for portfolio or promotional purposes unless you request otherwise in writing.
  • Indemnification: You agree to indemnify and hold Loop Digitizing harmless from any claims, damages, or liability arising from copyright or trademark infringement related to artwork you submitted.

5. Pricing and Payment

  • Prices are as quoted at the time of order and are subject to change for future orders.
  • Payment is due as specified at checkout or in your quote (in full or as a deposit, depending on order size).
  • We accept credit/debit cards and bank transfer.
  • All prices are listed in USD unless otherwise stated.

6. Revisions and Proofs

  • We provide a digital proof/preview before final file delivery where applicable.
  • Reasonable revisions requested prior to final approval are included; excessive or unrelated revision requests may incur additional charges.
  • Once a proof is approved by you, we are not responsible for stitch-quality issues arising from your approval of a design that was accurately represented in the proof.

7. Turnaround Time

  • Estimated turnaround times are provided at the time of order and are not guaranteed delivery dates unless explicitly confirmed in writing.
  • Delays caused by incomplete information, late responses to proof approvals, or high order volume are not the responsibility of Loop Digitizing.

8. Refunds and Cancellations

  • We do not offer refunds for our services however edits are free till the customer is totally satisfied. There is no “trial” or “grace period” after purchasing the files which means all sales are final however we will do the editing of files till the client is satisfied and most of the editing is done free of cost unless it is different than the initial requirement. You can see our Price page for further information regarding editing. We provide 30 days free editing as a standard, We only guarantee the quality of the files and formats we provide.
  • Important: Before proceeding to production, please carefully review the digitized file, especially for spellings, phone numbers, dates, or any specific text/numbers in the design. We are not responsible for any losses resulting from overlooked errors once the file has been approved or used for bulk production.

9. File Delivery and Storage

  • Completed files will be delivered via the method agreed upon at order (e.g., email, download link, cloud storage).
  • We retain completed files for 6 months for re-download or revisions. After this period, files may be deleted and re-digitizing may incur a new charge.
  • You are responsible for downloading and backing up your files after delivery.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Loop Digitizing’s total liability for any claim arising from the Services shall not exceed the amount paid for the specific order giving rise to the claim.
  • We are not liable for indirect, incidental, special, or consequential damages, including lost profits or production costs, arising from the use of our digitized files.
  • We do not guarantee compatibility with every embroidery machine or software; you are responsible for confirming file format compatibility before ordering.

11. Disclaimer of Warranties

Services and deliverables are provided “as is” and “as available.” We make reasonable efforts to ensure stitch quality and accuracy but do not warrant that files will be completely free of errors or fully compatible with every machine, fabric, or use case.

12. Prohibited Use of the Site

You agree not to:

  • Use the Site for unlawful purposes
  • Submit artwork that infringes third-party rights (see Section 4)
  • Attempt to interfere with the security or functionality of the Site
  • Reproduce, resell, or distribute our Site content without permission

13. Third-Party Links and Services

Our Site may link to or integrate third-party services (e.g., payment processors). We are not responsible for the content, policies, or practices of those third parties.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from these Terms or our Services shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the exclusive jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. Changes take effect upon posting to this page with an updated “Last Updated” date. Continued use of the Site or Services after changes constitutes acceptance.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
